Accepting These Terms
Welcome to Vivid. These Terms of Service ("Terms") govern your access to and use of the Vivid mobile application, website at vividapp.site, and all associated services (collectively, the "Platform"). The Platform is operated by Vivid SocialFi ("Vivid," "we," "our," or "us").
By registering for an account, downloading the app, or otherwise accessing any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use Vivid.

Eligibility
You must be at least 18 years old to create an account or use any feature of the Vivid Platform. By registering, you represent and warrant that:
- You are at least 18 years of age.
- You have the legal capacity to enter into a binding agreement.
- You are not prohibited from using the Platform under any applicable law in your jurisdiction.
- Any information you provide during registration and throughout your use of the Platform is accurate and truthful.
We reserve the right to terminate accounts that are found to belong to users who do not meet the eligibility requirements above.

Accounts
Your Vivid account is personal to you. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. In particular, you agree to:
- Provide accurate and up-to-date registration information, including a valid phone number that you own and can verify.
- Never share your account credentials with any other person.
- Notify us immediately at hello@vivid.social if you suspect unauthorized access to your account.
- Not create more than one account per person. Duplicate or fake accounts may be removed without notice.
- Not impersonate another user, celebrity, public figure, or the Vivid team.
We are not liable for losses arising from unauthorized use of your account due to your failure to keep credentials secure.

Acceptable Use
Vivid is built for genuine human connection and commerce. To keep it that way, the following are strictly prohibited:
- Posting, sharing, or transmitting content that is obscene, hateful, discriminatory, defamatory, or that promotes violence or terrorism.
- Harassing, bullying, threatening, or stalking other users.
- Using the Platform to facilitate or promote illegal activity of any kind.
- Attempting to gain unauthorized access to our systems, other user accounts, or any data not intended for you.
- Deploying bots, scrapers, automated scripts, or other non-human agents without our express written consent.
- Artificially inflating engagement metrics, follower counts, DIA balances, or reputation scores through coordinated manipulation or fraudulent means.
- Engaging in multi-account fraud, sybil attacks, or any scheme designed to game the reward or DIA system.
- Selling, transferring, or attempting to monetize your Vivid account outside of the features explicitly provided by the Platform.
- Distributing malware, spam, phishing content, or any material designed to compromise the security of our systems or other users.
Vivid reserves the right to suspend or permanently ban any account that violates these rules, with or without prior warning, at our sole discretion.

Your Content
You retain ownership of any original content you create and post on Vivid, including text, images, videos, and audio. By publishing content on the Platform, you grant Vivid a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify for display purposes, and distribute that content solely for the purpose of operating and improving the Platform.
This license ends when you delete your content or close your account, except where your content has been shared by other users or is subject to legal hold.
You are solely responsible for the content you post. You represent and warrant that:
- You own or have the necessary rights and permissions to post the content.
- Your content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
- Your content does not violate any applicable law or these Terms.
We do not endorse user content and take no responsibility for content posted by users. We may remove content that violates these Terms without notice.

Communities
Vivid allows users to create and join Communities around shared interests. Community creators and administrators are responsible for moderating their communities in accordance with these Terms. As a community administrator, you agree to:
- Set clear community rules that do not conflict with Vivid's platform-wide policies.
- Actively moderate content and member behavior within your community.
- Not use your administrative powers to harass or unfairly target individual members.
Vivid may step in and take action including removing content, removing members, or dissolving a community entirely if it becomes a source of harm, fraud, or repeated policy violations.

Live Streams (Common Rooms)
The Common Room feature allows users to host and join live audio and video broadcasts. By hosting or participating in a live stream, you agree to:
- Comply with all applicable laws regarding broadcast content in your jurisdiction.
- Not stream content that is sexually explicit, violent, graphically disturbing, or otherwise violates our community guidelines.
- Respect all participants and not use the stream to harass, demean, or publicly humiliate anyone.
- Obtain appropriate consent before featuring another person's image, voice, or likeness in your stream.
Hosts are responsible for managing their Common Room. Vivid provides moderation tools to help hosts manage participants, but ultimately the host bears responsibility for what occurs within their stream.

Matchmaking
Vivid's AI-driven matchmaking engine connects users based on profile information, interests, and behavioral signals. Matchmaking sessions are time-based and may be extended by purchasing additional time packages using DIA. By using the matchmaking feature, you agree that:
- You will treat other users with respect throughout all matchmaking sessions.
- You will not use matchmaking to solicit money, services, or contact information in exchange for financial reward.
- Vivid makes no guarantee regarding the suitability, compatibility, or intentions of any matched user. All interactions are at your own discretion and risk.
Time package fees spent on matchmaking sessions are non-refundable once a session has been initiated, except in the case of a verified technical failure on our end.

Wallet and Diamond (DIA) Currency
Vivid provides an in-app wallet that holds Diamond (DIA) currency. DIA is a platform utility token used to pay for features, tip other users, fund escrow agreements, and participate in marketplace transactions. By using the wallet, you acknowledge and agree that:
- DIA has value only within the Vivid Platform and is not a cryptocurrency, financial instrument, or investment product.
- Deposits are processed by Paystack or Flutterwave and are subject to their terms and any applicable payment fees.
- Withdrawal requests are processed within a reasonable time, typically within 3 to 5 business days, subject to KYC verification tier requirements.
- Vivid reserves the right to impose minimum and maximum transaction limits based on your KYC tier and account standing.
- Wallets associated with fraudulent activity, chargebacks, or suspected money laundering may be frozen pending investigation. Funds in a frozen wallet are not lost but are held until the investigation is resolved.
- In the event of account termination for a breach of these Terms, any DIA balance may be forfeited at Vivid's discretion.

Marketplace
Vivid's Marketplace allows users to list and purchase goods from one another. All marketplace transactions are facilitated through our escrow system to protect both buyers and sellers. As a marketplace participant, you agree to:
- Only list items that you legally own and have the right to sell.
- Provide accurate, honest descriptions and images for all listings.
- Not list prohibited items including but not limited to: illegal goods, weapons, controlled substances, counterfeit products, stolen property, or any item whose sale is restricted in your jurisdiction.
- Honor agreed-upon transaction terms once an escrow agreement has been funded.
- Not misrepresent the condition, origin, or authenticity of any item you list.
Vivid is a platform facilitator, not a party to marketplace transactions. We are not responsible for the quality, legality, safety, or delivery of items listed on the Marketplace. All disputes between buyers and sellers are handled through the built-in escrow dispute process.

Escrow
Vivid's escrow system holds funds on behalf of buyers until a transaction milestone is confirmed. By initiating or participating in an escrow agreement, both parties agree that:
- Funds will be held in escrow until the agreed milestones are marked as complete or the agreement is cancelled.
- Escrow fees apply per transaction and are non-refundable once the escrow is funded.
- If a dispute is raised, a Vivid mediator will review the evidence submitted by both parties and make a binding decision. Both parties agree in advance to accept the outcome of mediation.
- False dispute claims or bad-faith use of the dispute system may result in account penalties including suspension or the forfeiture of funds.
Vivid acts as an impartial intermediary during escrow disputes. Our decision is final and is made solely based on the evidence presented through the Platform.

Rewards and Cashbacks
Vivid rewards users with DIA points and cashbacks for qualifying actions such as daily check-ins, platform engagement, marketplace activity, and referrals. Reward rules are defined by the platform and may change at any time. You acknowledge that:
- Rewards are granted at Vivid's discretion and do not constitute an enforceable promise of payment.
- Attempting to manipulate or exploit the reward system through artificial means will result in reward forfeiture and potential account suspension.
- Vivid reserves the right to audit reward distributions and reverse any rewards granted as a result of fraudulent or ineligible activity.
- Reward structures, rates, and qualifying actions may be updated without prior notice.

Advertising
Vivid may display advertisements from third-party advertisers within the Platform. Advertisers are responsible for the content of their ads and compliance with applicable advertising laws. Vivid does not endorse any advertised product or service. By placing ads through the Vivid advertising system, advertisers agree to our separate Advertiser Policy and warrant that their ad content complies with all applicable laws and does not violate these Terms.

Intellectual Property
The Vivid name, logo, brand identity, app design, source code, AI systems, and all proprietary technology are the exclusive intellectual property of Vivid SocialFi and are protected by copyright, trademark, and other applicable laws. You may not:
- Reproduce, copy, or redistribute the Vivid brand, design, or technology without written permission.
- Reverse engineer, decompile, or otherwise attempt to extract the source code of our applications.
- Create derivative works based on the Vivid Platform without our explicit consent.
Any feedback, suggestions, or ideas you submit to us regarding the Platform become the property of Vivid and we may use them freely without obligation to you.

Suspension and Termination
You may close your Vivid account at any time by contacting support. We may suspend or terminate your account at any time if we believe you have violated these Terms, engaged in fraudulent activity, or if required to do so by law.
- Upon termination, your access to the Platform will cease immediately.
- Content you have posted may be removed or retained at our discretion, particularly where it is subject to a legal hold or is part of an ongoing dispute.
- Outstanding DIA wallet balances at the time of termination may be withdrawn to your linked bank account, subject to verification and our review of the circumstances of the termination. Balances in accounts terminated for fraud or abuse may be forfeited.

Disclaimers
The Vivid Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Vivid disclaims all warranties, express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Any guarantee that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
- Any guarantee regarding the accuracy, completeness, or timeliness of any content on the Platform.
We do not guarantee that the matchmaking feature will result in meaningful connections. User interactions are entirely voluntary and at the participants' own discretion and risk.

Limitation of Liability
To the maximum extent permitted by applicable law, Vivid and its officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. This includes but is not limited to loss of profits, loss of data, loss of goodwill, service interruption, or the cost of substitute services.
Our total aggregate liability to you for any claims arising from your use of the Platform shall not exceed the amount you paid to Vivid in the twelve months preceding the claim, or one hundred United States dollars (USD 100), whichever is greater.

Governing Law
These Terms are governed by and construed in accordance with applicable law. Any dispute arising from or related to these Terms or your use of the Platform that cannot be resolved informally shall be submitted to binding arbitration. Both parties agree to first attempt to resolve any dispute through good-faith negotiation before pursuing formal proceedings.

Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will notify you via an in-app notice and, where possible, by email. The updated Terms will display a new effective date at the top of this page. Your continued use of the Platform after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Platform and may close your account.
